Veros Inc. Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Veros authentication platform (“Service”), operated by Veros Inc. (“Veros,” “we,” “our,” or “us”). By using the Service, you confirm that you understand and agree to these Terms and our Privacy Policy.

1. Eligibility and Acceptance

You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use the Service. By using the Service, you represent that you meet this requirement and agree to these Terms.

2. Description of the Service

Veros provides a palm-recognition biometric authentication service that enables secure user identification via palm image enrollment and verification. Veros does not store your palm images; only a secure, non-reversible mathematical representation ("palm model") is stored.

3. Legal Basis for Processing (GDPR & Biometric Laws)

We process biometric data based on:

• Explicit Consent (GDPR Art. 9(2)(a)): You provide clear, affirmative consent during enrollment.

• Legitimate Interests (GDPR Art. 6(1)(f)): To provide secure authentication with safeguards.

• Data Minimization: We retain only necessary data, and delete biometric images immediately post-processing.

• Data Subject Rights: See Section 9 for your rights under GDPR and similar laws.

• Compliance with Biometric Laws: We follow applicable state laws (e.g., BIPA in Illinois, CCPA in California) and provide opt-out and data deletion rights accordingly.

4. User Registration and Account

To use the Service:

• You receive a random, pseudonymous account ID.

• You may provide an email for optional communication.

• You may delete your data at any time.

5. Palm Enrollment & Biometric Data

• Palm images are processed locally or transiently and immediately deleted after conversion.

• Veros stores only the encrypted palm model. This model cannot be used to reconstruct your palm.

• A new model is generated and compared during each authentication.

• Users can erase and re-enroll at any time.

6. Use Restrictions

You agree not to:

• Violate applicable laws or infringe rights of others.

• Attempt to reverse-engineer palm models.

• Use the Service for unlawful or unauthorized access.

• Interfere with system security or functionality.

7. Data Retention & Deletion

• Your biometric data (palm model) is retained only:

• With your consent;

• Until deleted by you;

• Or for 3 years after your last use.

• You may delete your model via the app’s "Erase" function.

• Your data is stored in the United States. By using the Service, you consent to the transfer and processing of your data in the U.S., including any international transfers subject to appropriate safeguards.

• We retain limited logs for security, analytics, and fraud prevention in accordance with applicable law.

• In cases where fraudulent activity is suspected, palm images may be temporarily retained solely for fraud review purposes. These images will be anonymized or permanently deleted once the review is complete.

8. Sharing and Disclosure

We do not sell your data. We may share data:

• With subprocessors (including contractors and service providers) under strict confidentiality and data protection agreements (DPAs);

• With third parties only with your explicit authorization;

• As required by law (e.g., subpoena or law enforcement);

• For fraud investigation in limited, vetted contexts.

All transfers outside the EU are governed by Standard Contractual Clauses or equivalent safeguards.

9. Your Rights (GDPR / CCPA / Biometric Laws)

Depending on your location, you may have the right to:

• Access your personal data

• Correct inaccurate data

• Erase your biometric or account data

• Object to or restrict processing

• Port your data

• Withdraw consent at any time (processing stops when consent is withdrawn)

• Lodge a complaint with a supervisory authority (e.g., a Data Protection Authority in the EU)

10. Security

We use strong encryption and industry best practices to protect your data. This includes:

• End-to-end encryption of palm models

• Limited internal access

• Secure, pseudonymous identifiers

• Privacy-by-design architecture

No system is 100% secure. You agree to use the Service at your own risk.

11. Intellectual Property

The Service and all related intellectual property belong to Veros. You are granted a limited, revocable, non-exclusive license to use the Service for lawful personal or authorized purposes.

12. Suspension and Termination

We may suspend or terminate your access for:

• Violation of these Terms

• Fraudulent or harmful activity

• Legal or regulatory reasons

• You may also delete your account and data at any time via the app.

13. Changes to the Terms

We may update these Terms from time to time. We will notify you via the app, email, or on our website. Continued use of the Service after updates constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of The Cayman Islands, without regard to conflict of law principles. If you are located in the EU, mandatory consumer protection laws apply in your country of residence.
